1. Definitions

The terms indicated by an initial capital letter below shall have the following meanings in these Terms and Conditions:

• Event: Any live music concert, artist showcase, open mic, music workshop, or related session organised or promoted by IndieKhoj for which tickets are sold.
• Organiser: Sunray Entertainment Limited, the company responsible for producing and/or promoting the Event, trading under the brand "IndieKhoj."
• Buyer: Any individual or entity purchasing a ticket to an Event.
• Ticket: The document or electronic confirmation that grants entry to an Event.
• Venue: The location where the Event is held.
• IndieKhoj: The trading name of Sunray Entertainment Limited, a company registered in England and Wales (Company No. 16387223) with its registered office in London, United Kingdom.

2. Scope

These Terms and Conditions apply to all offers, ticket purchases, and agreements related to any Event organised or promoted by Sunray Entertainment Limited (trading as IndieKhoj). By purchasing a Ticket, the Buyer agrees to these Terms and Conditions.

Any alternative terms proposed by the Buyer are rejected unless expressly agreed in writing by Sunray Entertainment Limited.

Sunray Entertainment Limited reserves the right to amend these Terms at any time. The latest version will always be available on www.indiekhoj.com.

3. Formation of the Agreement

By purchasing a Ticket through IndieKhoj or an authorised ticketing partner, the Buyer enters into an agreement with Sunray Entertainment Limited for access to the specified Event.

Tickets will be delivered electronically to the email address provided at purchase. The Buyer is responsible for ensuring their contact details are correct. Sunray Entertainment Limited accepts no responsibility for undelivered or misdirected emails.

All sales are final once the order is confirmed. Tickets cannot be exchanged, resold above face value, or refunded except in the limited circumstances set out below.

4. Prices and Payment

All ticket prices are shown in GBP (£) and include VAT unless stated otherwise. Booking, transaction, or service fees may apply and are non-refundable. Payment must be made in full at the time of purchase using the methods available on the IndieKhoj or partner websites.

Failure to complete payment may result in cancellation of the order.

5. Event Changes, Cancellations & Refunds

Sunray Entertainment Limited reserves the right to make alterations to the Event, including artist line-up, schedule, or venue, due to circumstances beyond its control. Such changes do not entitle the Buyer to a refund.

If an Event is cancelled, only the face value of the ticket will be refunded. Service, transaction, or booking fees are non-refundable.

If an Event is postponed or rescheduled, the ticket will normally remain valid for the new date. Refund requests (for face value only) must be made within the timeframe communicated by Sunray Entertainment Limited after such announcement.

Sunray Entertainment Limited shall not be liable for any indirect or consequential loss (including travel, accommodation, or other costs) arising from any cancellation, rescheduling, or alteration.

6. Admission & Venue Rules

Entry to the Venue is subject to security checks and the Venue's own terms and conditions. The following items are not permitted: alcohol, illegal substances, glass bottles, weapons, fireworks, or professional recording equipment (unless authorised).

Latecomers may be refused entry or admitted only during suitable breaks at the discretion of the Venue. Sunray Entertainment Limited reserves the right to refuse entry or remove any person whose behaviour is disruptive, unsafe, or contrary to the spirit of the Event. No refunds will be given in such cases.

Special requirements (e.g., accessibility needs) must be communicated to Sunray Entertainment Limited or the Venue in advance.

7. Ticket Use

Tickets remain the property of Sunray Entertainment Limited and constitute a revocable licence to attend the Event. Tickets may not be resold, duplicated, or used for commercial or promotional purposes without prior written consent. Unauthorised resale or attempted resale may result in cancellation without refund.

The Buyer must check their Tickets upon receipt and report any errors immediately. Lost, stolen, or damaged Tickets will not be replaced.

8. Event Experience Disclaimer

IndieKhoj Events may include live performances, audience interaction, and artist commentary that vary in tone, volume, and style. By attending, the Buyer acknowledges that live performance involves artistic expression and that setlists, sound levels, and performance style may change without notice.

Attendees assume all risks associated with attending a live event, including potential exposure to loud sounds, strobe lighting, or crowd environments. Sunray Entertainment Limited accepts no responsibility for personal injury (except where caused by negligence) or for loss/damage to personal property.

9. Filming, Photography & Media Use

Events may be recorded, photographed, or live-streamed by Sunray Entertainment Limited or its partners for promotional, archival, or media purposes. By attending, Buyers consent to the use of their image, likeness, and voice in any media produced during the Event without compensation or prior notice.

If a Buyer does not wish to be filmed or photographed, they should refrain from attending.

10. Liability

Sunray Entertainment Limited's total liability to any Buyer shall be limited to the total amount paid for the Ticket(s). Sunray Entertainment Limited shall not be liable for indirect or consequential losses, including but not limited to travel, accommodation, or loss of enjoyment.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability which cannot legally be excluded.

11. Force Majeure

Sunray Entertainment Limited shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government restrictions, venue issues, or artist illness.

In such cases, Sunray Entertainment Limited will endeavour to reschedule the Event or offer a refund of the face value of the ticket.

12. Intellectual Property

All intellectual property rights relating to the Event, including branding, logos, audio-visual content, and recordings, remain the property of Sunray Entertainment Limited or its licensors.

Buyers may not record, reproduce, or distribute Event content without prior written consent.

13. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
